Mittal Takeover Arcelor, the World's Biggest Steel Company Formed

After months of intense debate, the pan-European steel company Arcelor has finally agreed to a takeover offer by Mittal Steel, one of the world's leading steel producers. The tie-up would create the world's biggest steel company, which is likely to control nearly a tenth of global steel output. Now we are going live to our correspondent Theo Legget

(Theo, the negotiations⁵ for this deal have been long and difficult, so what has persuaded Arcelor to accept the offer at last?)

Well, one motivating factor has to be price. The Mittal bid is now worth somewhere in the region of 33 billion dollars. that's more than a 1/3 higher than Mr Mittal's original offer. So a great deal of price interest there. But also you have to say that the attitude of Arcelor's own share-holder's come into this. Over the past 5 months Arcelor's management have done everything they can to prevent a deal with Mittal Steel going ahead. They described the Mittal offer as 100% hostile and they even courted a separate merger deal with the Russian company Severstal in order to fend off the approaches from Mittal. But share-holders weren't happy, particularly they were concerned about the level of control that the Russian billionaire Aleksei Mordashov could have in a combined company if the deal with Severstal went ahead. So now Arcelor's board have had to go back to the drawing board. They have had to hold discussions with Lakshmi Mittal, the controller of Mittal Steel, and this is what they have come up with. A deal that seems to work for both parties.

(What's the likely impact on global steel production and prices ? )

I think we can certainly expect to see more consolidation within the industry. This new steel giant, as you say if share-holders approve the deal which still has to happen, but it would have about 10% of the global steel market. It would be much, much bigger than any other operator in that market. And analysts⁶ have been saying for some time the market is ripe for more consolidation. Other companies are now going to feel threatened. They are going to be looking around for suitors of their own so we will see more big deals in the industry.
